Reserving company name in Fiji

If you aren’t ready to register your entity as a foreign company or local company in Fiji but want to make sure a name is available, you can apply to reserve it by lodging an application for reservation of a name.

If we approve your application, we will reserve the name for 60 days. If you wish to extend this period, you’ll need to apply to reserve the name again prior to expiry date.

We will not reserve a name for a long period because this prevents other people from using the name legitimately.

Company Registration

Registration of a new company/ Incorporation of a local limited company in Fiji can now be done online

 

Step 1 – Choose the type and name of company

Choose the type of company that best suits your company’s purposes:

  • Private company limited by shares – the liability of members is limited by the articles of association. The applicable legal element is “Pte Limited” or “Pte Ltd”.

* requirement of minimum one officeholder who is an ordinary resident of Fiji

Lodgment fee- $45(VEP)

  • Public company:
    1. Limited by shares
    2. Limited by shares and guarantee
  • limited by guarantee – no share capital and the liability of members is limited by the articles of association to the amount that the members respectively undertake to contribute to the assets of the company in the event of its being wound up. Non-profit-making organisations are usually registered as guarantee companies.
  1. Unlimited liability company

Lodgment Fee – $450 (VEP)

*requirement of minimum 3 officeholders and at least two have to an ordinary resident of Fiji and minimum 1 company secretary

Then, choose a name for the company. Please refer to the schedule 1 of the companies Act 2015 for unacceptable names.

A company name that is identical to another company name kept by the Registrar of Companies (“the Registrar”) will be rejected. A company name search may be conducted free of charge through our Digital Fiji platform. Use the “Entity Name Search” mode and input the full and exact company name that you propose to register.

Step 2 – lodge application

Lodge the following documents with the correct fees electronically through our “digital Fiji” mobile application:

  1. Application Form (accurate details)
  2. A copy of the company’s articles of association (if adopting the own articles); and
  3. Photo ID and TIN Document for verification of the officeholder.

Important Notes:

  • For foreign shareholders registration will be subject to Investment Fiji Approval

Must provide (Foreign Investment Registration Certificate)

Please remember that if your Company application is completed online, payment option is available in the application form in the event online payment cannot be made you may select for offline payment where email notification will be sent with the reference no. To make payment at any of the MOJ registry.

Step 3 – Collect Certificates

If the application is approved, download or collect the Certificate of Incorporation. The Certificates will be issued in electronic form.

Both these sections must be filled.

Officeholders

Provide the date of birth and place of birth of the officeholders.

 

·         Private company – minimum of 1 director (1 resident in Fiji).

·         Public company- minimum of 3 directors (2 residents in Fiji) and 1 secretary (1 resident in Fiji).

  
   

Foreign Investment Registration Certificate

A copy of the Foreign Investment Certificate must be submitted if the applicant is required to hold a certificate under the Foreign Investment Act 1999

·         Company limited by Guarantee granted a license under section 31- $45.00 (VEP)

Foreign Company Registration

Foreign Company registration in Fiji

 

Definition of Foreign Company under the Companies Act 2015, means;

  • A company that is incorporated outside Fiji-
    • Which, on or after 1 January 1984, establishes a place of business within Fiji; or
    • Which has, before that date established place of business within Fiji and continues to have a place of business within Fiji on and after that date; or
  • An unincorporated body that-
    • Is formed outside Fiji;
    • Under the law of its place of formation, may sue or be sued, or may hold property in the name of its secretary or of an officer of the body duly appointed for that purpose; and
    • Does not have its head office or principal place of business in Fiji; and
    • Which, on or after 1 January 1984, establishes a place of business within Fiji; or
    • Which has, before that date established a place of business within Fiji and continues to have a place of business within Fiji on and after that date;

In order to be considered a ‘foreign company’, has to fulfill the above mentioned criteria.

Documents required:

  1. Certificate of incorporation;
  2. Certified copy of governance of the registered company (English version);
  3. A statement of all subsisting charges excluding charges in relation to property solely situated out Fiji; and
  4. A copy of the foreign investment registration certificate granted to the foreign company under the Foreign Investment Act 1999.
  5. Complete application lodgment form A17
